Assignment of Development Agreement
 

THIS AGREEMENT MADE THIS 5th DAY OF JANUARY, A.D. 1982.

WHEREAS by a Development Agreement dated the 25th day of October, 1980, made between the City of Edmonton and Royce Properties Ltd. for the development of Lots 11 to 16 inclusive, Block 33, Plan XXll (River Lot 2), Groat Estates, Excepting thereout all mines and minerals.

KNOW ALL MEN BY THESE PRESENTS, that Royce Properties Ltd. of 2700 Alberta Telephone Tower, Edmonton, in the Province of Alberta, hereinafter called the assignor, one of the parties to the Development Agreement of the 25th of October, 1980; in consideration of the sum of one dollar ($1.00) now paid to me by Triple Five Corporation Ltd of 1200, 10045 - 11 Street, Edmonton, in the Province of Alberta, hereinafter called the assignee, (the receipt whereof is hereby acknowledged) do hereby absolutely, sell, assign and transfer to the said Triple Five Corporation Ltd and his assigns, all my interest in the Development Agreement dated October 25, 1980 and attached as Schedule "A", and every covenant, article or thing therein contained including all rights of action or other rights accruing to me, or which might hereafter accrue to me under the said Agreement.

TO HOLD the same to the said Triple Five Corporation Ltd., with power to take all lawful measures which I might myself have taken for the full recovery and enjoyment of all rights and provisions mentioned in the said Agreement.

THE COVENANTS and Agreements herein contained shall be binding upon and apply and enure to the benefit of the heirs, executors, administrators, successors and assigns of the parties hereto respectively, and wherever the singular and the masculine are used throughout this assignment, the same shall be construed as meaning the plural or feminine or neuter where the context or the parties hereto so require, and the covenants and agreements herein of the parties hereto shall be construed severally as well as jointly.
